The FV MAKEUP name, logo, and all associated brand identifiers are trademarks owned by Hong Kong Cellphysis Brand Management Co., Limited. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, YOU AND THE COMPANY MAY EACH BRING CLAIMS IN SMALL CLAIMS COURT, IF ELIGIBLE, IN LIEU OF ARBITRATION, PROVIDED THAT THE CLAIM IS BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT ON BEHALF OF A CLASS OR GROUP.

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the courts of Hong Kong Special Administrative Region, People's Republic of China. You hereby irrevocably consent to the personal jurisdiction and venue of the Hong Kong courts and waive any objection based on inconvenient forum or lack of jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

YOU AGREE THAT ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OR SUCH CLAIM SHALL BE PERMANENTLY BARRED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER PROCEEDING IN WHICH ONE OR MORE PARTIES ACT OR PURPORT TO ACT IN A REPRESENTATIVE CAPACITY.

You agree that claims may only be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator or court shall not have the authority to combine or consolidate claims of other persons or parties, or to conduct any class, collective, or representative proceeding.

If the foregoing waiver of class action rights is found to be unenforceable or invalid for any reason, then the entirety of this Dispute Resolution section, including the arbitration provision, shall be deemed null and void, and any disputes shall be resolved exclusively in the courts of Hong Kong Special Administrative Region.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, MATERIALS, PRODUCTS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIALS DISPLAYED ON THE SITE. YOUR USE OF THE SITE AND ANY RELIANCE ON INFORMATION OBTAINED THROUGH THE SITE IS ENTIRELY AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HONG KONG CELLPHYSIS BRAND MANAGEMENT CO., LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

THIS DISCLAIMER APPLIES REGARDLESS OF WHETHER THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU ACTUALLY PAID TO THE COMPANY FOR PRODUCTS OR SERVICES PURCHASED THROUGH THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Hong Kong Cellphysis Brand Management Co., Limited and its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees and costs) arising out of or relating to:

• Your access to or use of the Site.
• Your violation of any provision of these Terms.
• Your violation of any applicable law, regulation, or third-party right.
• Any content you submit, post, or transmit through or in connection with the Site.
• Your infringement or misappropriation of any intellectual property or proprietary right of any person or entity.
• Any harm caused to any third party as a result of your interaction with other users of the Site.

The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with the Company's defense of such claims.

The Company takes fraud prevention seriously. We employ a variety of security measures and fraud detection technologies to protect our customers and our business from fraudulent transactions, unauthorized access, and other malicious activities.

We reserve the right to refuse, cancel, or delay any order that we suspect may be fraudulent, including orders placed using stolen payment information, orders that appear to involve reselling for unauthorized commercial purposes, or orders that exhibit patterns consistent with fraudulent behavior.

If we determine that fraud has occurred in connection with your use of the Site, we may take appropriate action, including but not limited to cancelling orders, restricting account access, reporting the activity to relevant authorities, and pursuing legal remedies. We may also share information with law enforcement agencies and payment processors as necessary to prevent and investigate suspected fraud.

By using the Site, you consent to our use of fraud prevention measures and acknowledge that we may decline or cancel transactions based on risk assessment criteria at our sole discretion.

E-Gift cards purchased through the Site are subject to the following terms and conditions in addition to these Terms:

• E-Gift cards may only be redeemed on the Site for the purchase of eligible products and cannot be used to purchase additional gift cards.
• E-Gift cards are delivered electronically to the designated recipient via email. The Company is not responsible for any failure to deliver an E-Gift card resulting from an incorrect or undeliverable email address provided by the purchaser.
• E-Gift cards are non-refundable and cannot be exchanged for cash, except as required by applicable law.
• Unused balances on E-Gift cards are not transferable and will not be refunded. Lost, stolen, or damaged E-Gift cards cannot be replaced without proof of purchase.
• E-Gift cards have no expiration date unless otherwise stated at the time of purchase or as required by applicable law.
• The Company reserves the right to cancel E-Gift cards if fraud or abuse is suspected.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect. The remaining provisions shall be construed as if the invalid or unenforceable provision had never been contained herein.

The headings and section numbers in these Terms are included for convenience only and shall not affect the interpretation of any provision.
